Terms of Use for Affiliate Partners

Introduction

These Affiliate Program Terms (these “Program Terms”) are between you (“you” or “Participant”) and Superscale AI GmbH (“Superscale” or “we”, “us”). By joining the Superscale Affiliate Program (the “Program”), you:

• Agree to abide by these Program Terms;

• Accept our general Terms and Conditions; and

• Acknowledge and agree to our Privacy Policy.

  
  

You may not participate in the Program if you do not accept the above terms.

THESE PROGRAM TERMS, AND THE TERMS REFERENCED HEREIN, INCLUDE LIMITATIONS ON Superscale’s LIABILITY AND OBLIGATIONS FOR WHICH YOU ARE OBLIGATED TO INDEMNIFY. PLEASE REVIEW SUCH TERMS CAREFULLY.

Eligibility

To participate in the Program, you:

• Must be at least 18 years of age (or the age of legal majority where you live);

• Must have read and agreed to the Superscale Terms of Service, Privacy Policy and these Program Terms.

  
  

Modifications to Terms of Service

Superscale may update these Program Terms from time to time. The “Last Updated” date above indicates when these Program Terms were last changed. If we make future changes, we may (at our discretion) provide you with notice of those changes by any reasonable means, such as by sending an email, providing a notice through our Services, or updating the date at the top of these Program Terms. Unless we say otherwise in our notice, the amended Program Terms will be effective immediately. By continuing your participation in the Program after such changes take effect, you are agreeing to such changes to the Program Terms. We may be required to share specific information with a third-party partner to manage and operate the Program effectively, per our Terms of Service and Privacy Policy.

Requirements for Participation

You agree to the following in respect of your participation in the Program:

• Upon request, you must provide all information reasonably necessary: (i) for us to verify your identity and business information and must otherwise provide all cooperation reasonably requested in connection with KYC/KYB requests from Superscale; (ii) to allow Superscale to process your payment (including your full legal name and a valid email address); and (iii) to confirm compliance with these Program Terms (including the terms incorporated by reference herein), including, without limitation, details pertaining to link placement. All information provided to Superscale pursuant to the foregoing shall be accurate and complete.

• Only natural persons are permitted to register for the Program. The use of bots, scripts, or other automated methods is prohibited.

• You are fully responsible for all content, activities, and actions associated with your referral account with us, including those performed by others with access to your referral account. You are further responsible for all uses of the Affiliate Link made available to you, whether or not authorized.

• A single person or entity shall not maintain multiple referral accounts with Superscale. Establishing or using separate entities for purposes of evading the foregoing is prohibited.

• Using the Program for unauthorized or illegal purposes, including violating any laws in your jurisdiction, is prohibited.

• Using misleading or deceptive marketing tactics or engaging in any false advertising in connection with the Program is prohibited. For purposes of the foregoing, this includes, without limitation:

  • Cookie stuffing and/or making false promises to users regarding coupons, cash back, charitable contributions, or the like, and similar practices;

  • Impersonating other brands;

  • Violating applicable laws, including intellectual property laws and consumer protection laws;

  • Browser extension; and

  • Malvertising practices.

• You must, upon request, produce verification of your ownership of any content channel or website you use in connection with your exercise of the Program.

• Unauthorized use of Superscale's intellectual property, trademarks, logos, advertising terms, or any related materials, whether in connection with the Program or otherwise, is not permitted. However, we grant you a limited, non-exclusive, revocable, non-transferable, non-sublicensable, royalty-free license to use, reproduce, distribute, and display Superscale’ name, logo, trademarks, and other brand identifiers for the sole purpose of promoting Superscale in connection with your participation in the Program, provided such use is compliant with: (i) all applicable laws; (ii) our Brand Guidelines; and (iii) any additional instructions or limitations Superscale may issue from time to time, and you shall not (x) create, operate, or maintain any website or application that mimics, replicates, or substantially resembles the design, layout, branding, user interface, or look and feel of any of Superscale’ product or service, or that could reasonably mislead users into believing they are interacting with an official Superscale product or service, (y) suggest that any content you create originate from Superscale or (z) present yourself as an official representative, employee or agent of Superscale.

• Self-referrals are prohibited. Commission may be earned only for bona fide referrals of a third party.

Superscale Brand

You will promote Superscale using various methods in accordance with these Program Terms. Without limitation to the Requirements set forth above, you are prohibited from:

• Bidding on branded keywords or terms associated with Superscale without prior consent;

• Creating any content that promotes harm, discrimination, or that otherwise violates our Prohibited Use Policy; and

• Making derogatory or disparaging statements about Superscale, or otherwise engaging in any activity that may be detrimental to the reputation of Superscale.

  
  

Payment & Commissions

Subject to the terms hereof:

• In order to receive commission under these Program Terms (“Commission”), you must, in addition to meeting all other requirements set forth herein, have provided a valid and up-to-date payment method, have completed any and all required tax documents, as applicable, and meet all the requirements set forth in the “Eligibility” section of these Program Terms.

• You can earn a commission on purchases made by Referred Paying Subscribers (as defined below) during the first 12 months of such Referred Paying Subscribers’ subscription. Commission rates (calculated based on the pre-tax purchase amount) are as follows but may be modified at any time in Superscale’ sole discretion:

• Referrals for Starter, Growth, or Scale Plans: 25% of the first 12 months

• Commission payments will be made at the end of the next month following the date upon which the commission is earned. .

• Payments are made through our third-party partner PartnerStack and in accordance with the payment method provided by you.

  
  

Referral Tracking

As part of this Program, each Participant will be provided with an affiliate link that is unique to each Participant (each, an “Affiliate Link”). It is your responsibility to use such Affiliate Link to track referrals. Transactions without the use of the Affiliate Link will not qualify for commissions. For the purpose of these Program Terms, a “Referred Paying Subscriber” means someone who clicks through a Participant’s Affiliate Link, subsequently registers for and maintains a non-free-tier subscription to Superscale’ products or services, and is properly attributed to such Participant through our tracking system.

Compliance with Laws

Participants must comply with all applicable laws and regulations.

Termination

Superscale may immediately suspend or terminate your participation in the Program for any violation (or suspected violation) of these Program Terms or for any other reason (including where your content is not relevant to Superscale’ ideal customer profile, product, or features or where you are unable to provide sufficient (in Superscale’ discretion) detail regarding your compliance with these Program Terms). Superscale may, in its sole discretion, withhold Commissions in the event Superscale has determined or reasonably suspects a violation of these Program Terms (or any terms incorporated by reference herein) has occurred.

Superscale may further suspend or terminate your affiliates’ (or other related parties’) participation in the Program to the extent you violate (or are suspected to have violated) these Program Terms.

Without limiting the foregoing, Superscale may terminate your participation in the Program if Superscale if you have been inactive for one (1) year. Superscale may also terminate the Program in its entirety at Superscale’s sole discretion.

No Commissions shall be paid following the effective date of any termination as provided in this section.

Relationship

The relationship between Superscale and each Participant is that of independent contractors. No part of this agreement establishes any partnership, joint venture, agency, or employment relationship.

Indemnification

You will indemnify, defend (at our option), and hold harmless Superscale and our officers, directors, partners, licensors, employees and agents from and against any losses, liabilities, claims, demands, damages, expenses or costs ("Claims") arising out of or related to: (a) your participation in the Program and your conduct in connection with participation in the Program; (b) your violation of these Program Terms; (c) your violation, misappropriation, or infringement of any rights of another (including intellectual property rights or privacy rights); or (d) your violation of applicable law.

Limitations & Disclaimers

NO INDIRECT DAMAGES. TO THE EXTENT PERMITTED BY LAW, IN NO EVENT SHALL Superscale BE LIABLE FOR ANY INDIRECT, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS OR BUSINESS OPPORTUNITIES.

LIMITATION OF LIABILITY. THE PARTIES AGREE THAT Superscale’s AGGREGATE LIABILITY IN CONNECTION WITH OR RELATED TO THESE PROGRAM TERMS WILL BE LIMITED TO THE TOTAL COMMISSION AMOUNTS YOU HAVE ACTUALLY EARNED IN THE TWELVE MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO A CLAIM.
